1 Introduction
TITANIUM is a product brand operated by Print & Form Ltd, a company incorporated in England and Wales. We design, manufacture, and supply NFC Smart Review Stands ("Hardware") along with a supporting subscription-based software platform ("Subscription") that enables businesses to collect and manage customer reviews.
These Terms apply to all customers who purchase Hardware and/or activate a Subscription through our website or any authorised sales channel. These Terms form a legally binding agreement between you (the customer) and Print & Form Ltd. Please read them carefully before completing a purchase.
We reserve the right to update these Terms at any time. Continued use of the Service following notification of changes constitutes your acceptance of the revised Terms. Material changes will be communicated via email to your registered address.
2 Definitions
For the purposes of these Terms, the following definitions apply:
- "Hardware" means the physical NFC Smart Review Stand(s) manufactured and supplied by TITANIUM, including the NFC chip, enclosure, and any associated mounting components included in the order.
- "Subscription" means the recurring monthly software licence that powers the Hardware, enabling tap-to-redirect functionality, the customer-facing review flow, and access to the business dashboard and analytics. Subscription plans are offered as Smart Shield or Direct Link.
- "Service" means the combined platform comprising the Hardware and the Subscription, operated together as the TITANIUM product.
- "Customer" or "you" means the business or individual entering into this agreement with Print & Form Ltd.
- "Dashboard" means the online management interface accessible to the Customer for configuring the Service and viewing analytics data.
3 Hardware
3.1 Custom Manufacture
All Hardware is custom-manufactured to order. Production begins upon receipt of payment. Lead times will be communicated at the point of purchase and may vary based on current production capacity. TITANIUM will make every reasonable effort to meet stated lead times but cannot guarantee delivery by a specific date where circumstances are beyond our reasonable control.
3.2 No Refunds on Hardware
Because all Hardware is custom-manufactured to your specification, it falls within the exemption for bespoke or personalised goods under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Accordingly, the standard 14-day right to cancel does not apply to Hardware orders once production has commenced. By placing a Hardware order, you acknowledge and accept that the purchase is non-refundable.
If your Hardware arrives damaged in transit or is defective upon delivery, please contact us within 48 hours of receipt. We will assess the issue and, where appropriate, arrange a replacement at our discretion and at no additional cost to you.
3.3 Lifetime Warranty
TITANIUM provides a Lifetime Warranty on all Hardware covering the following:
- NFC/Chip Malfunction: If the embedded NFC chip fails to function under normal use conditions, we will repair or replace the unit free of charge.
- Theft: In the event your stand is stolen, we will provide a replacement unit at no charge upon submission of a valid crime reference number from the relevant UK police force (or equivalent authority for international customers).
The following are explicitly not covered under this warranty:
- Cosmetic damage including scratches, scuffs, dents, or discolouration resulting from daily use or environmental exposure.
- Damage caused by misuse, negligence, unauthorised modification, or exposure to liquids.
- Loss of the Hardware without a verified police report.
Warranty claims should be submitted to hanzala@printformreviews.com with supporting evidence.
3.4 Ownership
Title to and ownership of the Hardware passes to the Customer upon delivery to the delivery address specified at checkout. Risk transfers to the Customer upon handover to the carrier.
4 Subscription
4.1 Requirement for Functionality
An active Subscription is required for the Hardware to function as intended. Without an active Subscription, the NFC chip will not redirect customers, and access to the Dashboard, analytics data, and review management features will be suspended. TITANIUM is not liable for any business impact arising from a lapsed or cancelled Subscription.
4.2 Billing & Renewal
The Subscription is billed on a monthly basis, commencing on the date the Subscription is first activated. It will automatically renew each month at the then-current subscription rate unless cancelled by the Customer prior to the renewal date. You will be notified of any changes to subscription pricing with at least 30 days' advance notice.
4.3 Cancellation
You may cancel your Subscription at any time through the Dashboard or by contacting us at hanzala@printformreviews.com. Upon cancellation, your Subscription will remain active until the end of the current billing period, at which point the Hardware will cease to redirect taps and access to the Dashboard will be revoked immediately. There is no pro-rata refund for any unused portion of a billing period.
4.4 No Partial Refunds
All Subscription fees are charged in advance for the upcoming billing period. No refunds or credits will be issued for partial billing periods, whether resulting from cancellation, non-use, or any other reason, except where required by applicable UK consumer law.
4.5 Data Retention After Cancellation
Following cancellation of a Subscription, your business data (including review analytics, response data, and configuration settings) will be retained on our servers for a period of 90 days. After this period, all associated data will be permanently and irreversibly deleted. If you wish to export your data, you must do so before this 90-day window expires. TITANIUM accepts no liability for data lost as a result of failure to export prior to deletion.
5 Google Policy Compliance
5.1 Compliance Commitment
TITANIUM is designed and operated in full compliance with Google's review policies, including the prohibition on review gating. We take our obligations in this regard seriously and the Service is built to ensure that all customers are given an equal and transparent opportunity to post a public Google review, regardless of their experience.
5.2 "Post to Google" Option
At every stage of the customer-facing review journey, a prominent "Post to Google" option is displayed and accessible. This option is presented to all customers irrespective of the star rating they select. No customer is ever blocked, prevented, or discouraged from leaving a public review on Google.
5.3 Resolution Centre (Smart Shield Plan)
The Smart Shield Subscription includes a Resolution Centre feature. When a customer selects a low-star rating (as configured by the business), they are presented with an option to share their feedback privately via an in-platform form, giving the business an opportunity to resolve the issue directly.
Importantly, the Resolution Centre does not prevent, block, or hide the customer's ability to post a public Google review. The "Post to Google" link remains clearly visible and accessible at all times. The Resolution Centre is an additional channel for private feedback, not a replacement for or barrier to public review posting.
5.4 Customer Responsibility
While TITANIUM's platform is designed to comply with Google's policies, the Customer is ultimately responsible for how they use the Service. Any configuration of the Dashboard that intentionally or unintentionally circumvents Google's review policies is the sole responsibility of the Customer. TITANIUM accepts no liability for account penalties imposed by Google as a result of a Customer's misuse of the Service.
6 Payments
6.1 Payment Processor
All payments are processed securely through Stripe, a third-party payment processing platform. TITANIUM does not store or have access to your full card details. By making a payment, you also agree to Stripe's terms of service, which are available at stripe.com/gb/legal.
6.2 Currency & Taxes
All prices are displayed and charged in Pounds Sterling (GBP). Prices are inclusive of any applicable Value Added Tax (VAT) unless otherwise stated. For business customers who are VAT-registered, a VAT invoice will be provided upon request.
6.3 Auto-Renewal
Your Subscription will automatically renew on a monthly basis. By activating a Subscription, you authorise Print & Form Ltd to charge your payment method on the same date each month. If a payment fails, we will make reasonable attempts to contact you and retry the charge. Persistent payment failure may result in suspension of the Service.
6.4 Disputes
If you believe you have been charged in error, please contact us at hanzala@printformreviews.com within 30 days of the charge. We will investigate and respond within 5 working days. Raising a chargeback with your bank before contacting us directly may result in the immediate suspension of your account pending investigation.
7 Limitation of Liability
7.1 Third-Party Platform Changes
The Service is designed to integrate with Google's review platform. TITANIUM has no control over, and accepts no liability for, any changes Google makes to its review platform, policies, algorithms, or any feature that may affect the functionality or effectiveness of the Service. This includes, but is not limited to, changes to review display, removal of reviews, or policy updates that affect how reviews are collected or shown.
7.2 No Guarantee of Results
TITANIUM does not guarantee any specific improvement in your Google rating, review count, or business outcome as a result of using the Service. Results will vary based on factors outside our control, including but not limited to customer behaviour, the nature of your business, and Google's display algorithms.
7.3 Cap on Liability
To the maximum extent permitted by applicable law, TITANIUM's total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service (whether in contract, tort, or otherwise) shall not exceed the total Subscription fees paid by you to Print & Form Ltd in the three (3) calendar months immediately preceding the date on which the claim arose.
7.4 Exclusions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UK law.
7.5 Indirect Losses
In no event shall TITANIUM be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
8 Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
